Studio Source Code License for White-Label Games

Studio Source Code License for White-Label Games
Version 2026-10-19-v2. Licensor: Engines of Creation (EoC). The licensee is the person or organization that accepts this version through an approved Studio account. This license applies to each source edition accepted and downloaded through that account.
Covered material and other licenses
This license covers only source code, documentation, original assets, and included server modules in a Studio source edition for which EoC owns the rights and that do not carry a separate license (Covered Material). Third-party and previously open-licensed files remain under their own licenses, which take precedence for those files. Dependencies and excluded artwork require their own rights. No Covered Material is placed in the public domain or sold to you.
Source code and game distribution rights
While your Studio account and workspace are approved and active, EoC grants you a non-exclusive, worldwide license to download, inspect, run, modify, and use the Covered Material for private development of your projects, including white-label games. You may use local tools and your own infrastructure. If an edition includes multiplayer server code, you may modify and self-host that included code for your licensed game. Hosting, third-party services, and provider usage are separate from this license.
You may publish and sell compiled or otherwise non-source versions of games developed from Covered Material, including ports, downloadable content, and game updates, under your own brand and on stores you choose. You may provide a game's compiled server component to a host operating it for you. Commercial distribution of a non-game product using Covered Material requires separate written permission. You may give source access to your employees and contractors solely to work on your licensed game, provided they keep it confidential and follow this license. You may not resell, publish, sublicense, or redistribute the Covered Material as source, a template, a source library, or a competing development kit without separate written permission. This license does not grant EoC trademarks, credentials, customer data, or rights in excluded content.
You retain rights in original material you contribute. EoC retains its rights in the Covered Material. A publisher or distributor may sell the compiled game on your behalf, but no source license transfers to them.
Commercial royalty
The first USD $1,000,000 in lifetime Net Game Receipts per game is royalty-free. After that, you owe EoC 1% of additional Net Game Receipts for each game using Covered Material. The threshold applies separately to each distinct game, combining its platforms, ports, editions, downloadable content, and in-game purchases. It does not reset each year or when a game changes publisher. A sequel that is a substantially distinct game has its own threshold. You owe no royalty on games that do not use Covered Material or on material governed only by a separate open-source license.
Net Game Receipts means money actually received by you or an entity you control from sales, subscriptions, downloadable content, in-game purchases, advertising, licensing, and nonrefundable advances directly attributable to the licensed game, less refunds, chargebacks, sales taxes or VAT collected for a tax authority, and third-party storefront or payment processing fees actually paid on those receipts. Do not subtract development, marketing, hosting, employee, or general business costs. Amounts retained by an independent publisher and never paid to you are not receipts to you. Apply the same definition consistently across sales channels. Convert non-USD receipts to USD using the exchange rate used in your ordinary accounting records for the relevant transaction or payout.
The royalty due for a reporting period is the greater of zero and 1% × max(0, cumulative Net Game Receipts − $1,000,000) − royalties previously paid for that game. Negative adjustments carry forward against future royalties; this license does not require a cash royalty refund. For example, $1,200,000 in lifetime Net Game Receipts produces a $2,000 royalty, assuming no earlier royalty has been paid. Once a game crosses the threshold, send EoC a quarterly statement of that game's Net Game Receipts and royalties due, and pay any royalty due within 45 days after each calendar quarter ends. Keep reasonable supporting sales records for three years. Contact nick@enginesofcreation.xyz for reporting and payment instructions. Studio subscriptions and service credits do not offset royalties; royalties do not buy service credits.
Continuing rights and termination
If Studio approval or a subscription ends, access to new source editions, updates, and Studio services ends. You may continue developing, maintaining, hosting, and distributing games that you began with Covered Material while your account was approved, subject to this license and its royalty and reporting terms. You may not start a new game using Covered Material after access ends. EoC may terminate this license for a material breach if you do not cure it within 30 days after written notice. On termination for uncured breach, stop using and distributing the affected Covered Material; rights you hold directly under separate licenses remain governed by those licenses. Changes to this royalty or continuing-use grant apply to an accepted edition only if you affirmatively accept a new version or agree in writing.
Notices and warranty
Keep copyright, license, provenance, and third-party notices with source copies and wherever a separate license requires them in distributed games. Each file with an SPDX identifier or separate license is governed by that license for that file. If a component's rights are unclear, do not deploy or redistribute it until its licensor confirms permission. Do not distribute secrets or private data contained in your own work.
To the extent permitted by law, Covered Material is supplied as-is, without warranties of fitness, non-infringement, availability, or security. This license does not override rights that cannot lawfully be excluded. Contact nick@enginesofcreation.xyz for questions or a separate negotiated license.
